TERMS OF USE

These Terms of Service (“Terms”) outline the relationship with the WilNova (“Company”, “we”, “our”, or “us”) and the User (“you”, “buyer”, “client”).
The Terms govern the access to, and use of the platform operated by us.
Users must be at least eighteen 18 years of age and legally capable of entering into a binding contract.
By accessing or using the platform, you agree that you have the legal capacity and authority to enter and be bound by these Terms.

1. Definitions
For the purpose of these Terms
“Account” means a registered user account created to access and use the Platform.
“AI Tools” means artificial intelligence systems or models used by the Platform to generate analytical insights, summaries, or reports, including systems based on Retrieval Augmented Generation (RAG).
“Comparative Report” means a report generated through the Platform that combines Curated Data provided by the Platform with User Data uploaded by a User for the purpose of analysis, visualization, or statistical comparison.
“Curated Data” means datasets made available on the Platform that have been collected, aggregated, organized, or curated by the Company from publicly available sources or third-party licensed data providers.
“Platform” means the SaaS-based data platform operated by [Company Name], including its website, software, analytical tools, statistical tools, data visualizations, reporting tools, and related services.
“Services” means the data access, analytical tools, reporting tools, statistical tools, and other functionalities provided through the Platform.
“Statistical Tools” means analytical tools available on the Platform that allow users to perform statistical analysis, including but not limited to correlation analysis, t-tests, ANOVA, and other statistical methodologies.
“Subscription Plan” means the tiered access plans offered by the Company that determine the level of access to datasets, tools, and features available on the Platform.
“User” means any individual or entity that accesses or uses the Platform.
“User Data” means datasets, files, or other information uploaded by a User to the Platform for analysis or report generation.
2. Description of Services
The Platform provides users with access to data analytics and related services, which may include, but are not limited to:
- a. Access to curated datasets derived from publicly available sources and/or datasets obtained under valid licenses from third-party data providers.
- b. Analytical insights, summaries, and interpretations generated from such curated datasets.
- c. Data visualizations that enable users to explore and interpret datasets through charts, graphs, and similar visual formats.
- d. AI-powered comparative reports, including reports generated using retrieval-augmented generation (RAG) or similar technologies, which may combine curated datasets available and selected [a1.1]on the Platform with data uploaded by users.
- e. Advanced statistical analysis tools, including but not limited to correlation analysis, t-tests, ANOVA, and other statistical methodologies that may be made available on the Platform from time to time.
The datasets available on the Platform may originate from government publications, public databases, licensed data providers, or other lawful sources, and may be subject to the terms, restrictions, or licensing conditions imposed by the original data source.
The Company reserves the right, at its sole discretion, to modify, expand, suspend, restrict, or discontinue any part of the Platform, its features, datasets, analytical tools, or services at any time, with or without notice.
3. User Accounts
Users may be required to create an account in order to access certain features of the Platform.
Users agree to:
- provide accurate registration information.
- maintain the confidentiality of their login credentials and be responsible for all activities conducted under their account.
- notify the Company of any unauthorized use of their account.
4. Subscription and Payments
1. Subscription Plans
- A. The Platform offers paid subscription plans that provide access to certain features and services.
- B. Subscription plans may include Standard and Premium tiers.
- C. Details regarding features, pricing, and applicable limits for each subscription tier will be available on the Platform.
2. Billing Cycle
- A. Users may select either monthly or annual billing.
- B. Subscription fees will be charged in advance at the beginning of each billing cycle.
3. Payment Processing
- A. Payments are processed through a third-party payment processor, currently Stripe, and users are subject to Stripe’s terms and privacy policies.
- B. By providing payment details, Users authorize the Platform and its payment processor to charge all applicable subscription fees and taxes to the selected payment method.
- C. The Company does not collect or store payment card information.
4. Automatic Renewal
- A. Subscriptions automatically renew at the end of each billing cycle unless the User cancels the subscription before the renewal date.
- B. By subscribing, the User authorizes recurring billing for the applicable subscription fees.
5. Cancellation
- A. Users may cancel their subscription at any time through their account settings.
- B. Upon cancellation, the User will continue to have access to the Platform’s paid features until the end of the current billing period. Cancellation will take effect at the end of the current billing cycle.
- C. The subscription will not renew after the cancellation becomes effective.
6. Refund Policy
- A. Except where required by applicable law, all subscription fees are non-refundable once charged.
- B. Cancelling a subscription does not entitle the User to a full or partial refund for the remaining portion of the subscription term.
7. Subscription Upgrades
- A. Users may upgrade their subscription from Standard to Premium at any time.
- B. In such cases, the User will be charged the price difference between the two plans for the applicable billing period.
8. Taxes
- A. Subscription fees may be subject to applicable taxes, including sales taxes or other government-imposed charges, depending on the User’s location.
- B. Such taxes will be added to the subscription fee where required by law.
5. Data Sources and Licensing
Curated Data available on the Platform may originate from government databases, public datasets, or third-party data providers.
Such data may be subject to licensing restrictions imposed by the original data providers.
Users acknowledge and agree that:
- the Company does not claim ownership of third-party datasets;
- use of Curated Data must comply with the licensing terms applicable to the source data;
- any restrictions applicable to the original datasets will also apply to the datasets provided through the Platform.
Where required, users must provide appropriate attribution to the original data source.
6. User Content and Platform Use
User Uploads
In order to utilize certain features of the Platform, including comparative reports and statistical analysis tools, Users may upload datasets, files, or other content to the Platform (“User Content”).
Users are responsible for ensuring that any content they upload:
- complies with applicable laws and regulations;
- does not infringe the rights of any third party;
- does not contain sensitive personal data or personally identifiable information (PII) unless the User has the lawful right and authorization to upload such information.
Users agree that they will not use the Platform to:
- upload unlawful, infringing, or unauthorized content;
- upload datasets or materials for which they do not possess the necessary legal rights or permissions;
- upload personal data or personally identifiable information without lawful authority;
- attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
- interfere with or disrupt the operation, integrity, or security of the Platform;
- introduce viruses, malware, or other harmful code into the Platform;
- scrape, copy, download, or systematically extract datasets from the Platform in violation of applicable data licensing restrictions;
- use the Platform in a manner that places excessive load on the Platform infrastructure or otherwise interferes with the normal functioning of the Platform;
- use the Platform in a manner that violates applicable laws or regulations.
The Company reserves the right to suspend or terminate access to the Platform for violations of this section.
Users should not upload any personally identifiable information (PII) unless they are legally authorized to do so.
When uploading files, Users may be required to acknowledge and confirm that they have the necessary rights and permissions to upload the data.
The Company does not currently implement automated mechanisms to detect the presence of personal data within uploaded files, and the responsibility for ensuring compliance with applicable data protection laws remains with the User.
The User acknowledges that the Platform is not intended for the storage or processing of personal data and agrees not to upload any personal data unless legally authorized to do so.
The Company reserves the right to remove or restrict access to User Content that violates these Terms or applicable laws.
Ownership of User Content
Users retain all intellectual property rights in the content and datasets they upload to the Platform.
Any comparative reports, statistical analyses, or outputs generated using the User’s uploaded data through the Platform’s tools shall belong to the User.
Users may delete their uploaded content and generated outputs from the Platform in accordance with the Platform’s functionality.
License to the Platform
By uploading User Content to the Platform, the User grants the Company a limited, non-exclusive, royalty-free license to store, process, analyze, reproduce, and use the User Content solely for the purposes of operating, maintaining, improving, and providing the Platform and its services.
The Company will not use User Content for purposes unrelated to providing the services without the User’s consent.
Content Moderation and Removal
Although the Platform does not facilitate public sharing of User Content between users, the Company reserves the right to review, restrict, suspend, or remove User Content that:
- A. violates these Terms,
- B. infringes third-party rights, or
- C. poses legal or security risks to the Platform.
7. Intellectual Property
Platform Ownership
All intellectual property rights in the Platform, including but not limited to:
- the software and underlying technology,
- platform architecture and design,
- curated datasets and dataset compilations,
- analytical methodologies,
- data visualizations,
- trademarks, logos, and branding,
are owned by or licensed to the Company and are protected under applicable intellectual property laws.
Except as expressly permitted in these Terms, Users may not copy, reproduce, distribute, modify, reverse engineer, or otherwise exploit any part of the Platform without prior written consent from the Company.
User Ownership
Subject to the Company’s underlying intellectual property rights in the Platform and its analytical methodologies, the User shall retain ownership of outputs generated using the User’s uploaded data.
Nothing in these Terms shall transfer ownership of User Content to the Company.
8. AI-Generated Analysis and Reports
The Platform may generate analytical outputs using AI-powered tools , including Retrieval Augmented Generation (RAG) systems.
Users acknowledge that:
- AI-generated outputs are based on available datasets and algorithmic processing;
- such outputs may contain errors or inaccuracies;
- the outputs are provided for informational and analytical purposes only.
- AI generated tools uses third part models, any content uploaded will pass through their systems, users must agree to their ToS.
Users remain responsible for verifying results before relying on them for research, commercial decisions, or policy analysis.
9. Third-Party Data Sources
Datasets made available on the Platform may originate from publicly available sources or licensed third-party data providers.
Such datasets may be subject to additional licensing terms, restrictions, or attribution requirements imposed by the original data source.
Users agree to comply with all applicable restrictions associated with such datasets.
The Company does not independently verify third-party datasets and disclaims any responsibility for inaccuracies contained in such data.
10. Permitted Use of Data
Users may use the datasets and analytical outputs available through the Platform for purposes such as:
- research.
- internal analysis.
- academic or policy research.
- generating comparative reports using the Platform tools.
Users shall not:
- resell datasets obtained from the Platform.
- redistribute substantial portions of curated datasets.
- create competing data products using the Platform’s datasets.
- scrape or extract data from the Platform using automated tools.
11. Data Storage and Security
User data and generated reports may be stored on cloud infrastructure services provided by Amazon Web Services (AWS), including services such as S3 and RDS databases.
While the Company implements commercially reasonable security measures for data security, the Company cannot guarantee absolute security against unauthorized access, cyber-attacks, or data breaches.
The Company shall not be responsible for any loss of User Data resulting from system failures, cyber incidents, or user actions.
Users may delete their uploaded data or generated reports through the Platform.
12. Third-Party Services
The Platform relies on certain third-party services including:
- Stripe (payment processing).
- Amazon Web Services (cloud hosting).
- third-party software libraries and analytical tools.
- AI models.
The Company is not responsible for the availability, performance, or security of third-party services.
13. Disclaimer of Warranties
The Platform, including all curated datasets, analytical outputs, visualizations, comparative reports, statistical tools, and other services, is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, the Company makes no representations or warranties of any kind, express or implied, regarding the Platform or its content, including but not limited to:
- the accuracy, completeness, reliability, or timeliness of curated datasets or analysis;
- the suitability of the Platform for any particular purpose, including research, business, financial, or policy decision-making;
- uninterrupted, secure, or error-free operation of the Platform.
The Company does not guarantee that the datasets or analysis provided on the Platform are free from errors, omissions, or inaccuracies, particularly where such datasets originate from third-party sources, including governmental or public databases.
Users acknowledge that any reliance on the Platform’s datasets, analyses, visualizations, or AI-generated comparative reports is at their own risk. While the Company endeavors to ensure that curated datasets and analyses are accurate and up to date, the Company does not guarantee the completeness, accuracy, or reliability of the data.
Datasets may depend on information obtained from third-party sources, and the Company shall not be responsible for errors or omissions in such datasets.
14. Limitation of Liability
To the maximum extent permitted by applicable law, the Company, its affiliates, directors, officers, employees, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:
- loss of profits,
- loss of data,
- loss of business opportunities,
- interruption of business operations,
- or any other commercial damages or losses,
arising out of or related to the User’s access to or use of the Platform.
Without limiting the foregoing, the Company shall not be responsible for:
- inaccuracies or limitations in third-party datasets;
- errors or outcomes resulting from AI-generated comparative reports or analytical tools;
- any decisions made by Users based on the Platform’s datasets, analysis, or reports.
In no event shall the Company’s total aggregate liability arising out of or related to these Terms or the use of the Platform exceed the total subscription fees paid by the User to the Company during the twelve (12) months preceding the event giving rise to the claim.
The Company shall not be liable for failure or delay in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, internet outages, cyberattacks, government actions, or failures of third-party service providers.
Nothing in these Terms shall limit or exclude liability where such limitation or exclusion is prohibited by applicable law.
Some jurisdictions may not allow certain limitations of liability. In such cases, liability will be limited to the maximum extent permitted by applicable law.
15. Force Majeure
The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from events beyond the Company's reasonable control.
Such events may include, but are not limited to:
- natural disasters;
- acts of government;
- war, terrorism, or civil unrest;
- internet or telecommunications outages;
- cyberattacks;
- failures of third-party service providers;
- failures of cloud infrastructure providers;
- power outages.
During the occurrence of such events, the Company’s obligations under these Terms shall be suspended for the duration of the force majeure event.
16. Indemnification
The User agrees to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, licensors, and service providers from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- the User’s access to or use of the Platform;
- the User’s violation of these Terms;
- any User Content uploaded to the Platform, including datasets or files provided by the User;
- the User’s violation of any applicable law or regulation;
- the User’s infringement or alleged infringement of any third-party rights, including intellectual property rights, privacy rights, or contractual rights.
The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the User.
In such cases, the User agrees to cooperate fully with the Company in the defense of such claims.
17. Service Availability and Platform Changes
The Company will make commercially reasonable efforts to ensure that the Platform is available and functioning properly, but does not guarantee uninterrupted or error-free access.
Access to the Platform may be temporarily unavailable due to:
- scheduled maintenance,
- updates or improvements,
- technical issues,
- third-party service disruptions,
- events beyond the Company’s reasonable control.
The Company reserves the right to:
- modify, update, or discontinue any part of the Platform;
- add, remove, or modify datasets, analytical tools, or features;
- change subscription tiers, quotas, or access limitations.
Where reasonably practicable, the Company will provide advance notice of material changes affecting the availability of the Platform or its services.
18. No Professional Advice / No Reliance
The datasets, analytical insights, visualizations, statistical outputs, comparative reports, and any other materials made available through the Platform are provided for informational and analytical purposes only.
The Platform does not provide financial, economic, investment, legal, professional, or policy advice. The information, datasets, analyses, and AI-generated outputs available on the Platform should not be relied upon as a substitute for professional judgment or independent analysis.
While the Company may aggregate, analyze, and present data obtained from public or licensed sources, the Company does not guarantee the accuracy, completeness, reliability, or suitability of any datasets, analytical outputs, or reports generated through the Platform.
Users are solely responsible for evaluating the accuracy and relevance of any information obtained from the Platform and for any decisions or actions taken based on such information.
The Company shall not be responsible or liable for any decisions, losses, damages, or consequences arising from reliance on the Platform’s datasets, analyses, visualizations, or AI-generated reports.
19. Termination
The Company may suspend or terminate user access to the Platform if:
- these Terms are violated;
- misuse of datasets or analytical tools occurs;
- unauthorized redistribution of data is detected.
Users may terminate their account at any time.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Canada and the applicable laws of the Province in which the Company is registered, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform shall be resolved through final and binding arbitration.
The Company shall have the sole discretion to appoint the arbitration provider or arbitrator, unless otherwise required by applicable law.
The seat and venue of arbitration shall be determined by the Company unless otherwise required by applicable law.
The arbitration proceedings shall be conducted in the English language.
The decision of the arbitrator shall be final and binding on the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
21. Changes to Terms
The Company reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform.
Continued use of the Platform constitutes acceptance of the revised Terms.

23. Entire Agreement
These Terms constitute the entire agreement between the User and the Company regarding the use of the Platform and supersede any prior agreements or understandings.
